Azores Airlines privatisation process launched

The SATA Holding has formally launched the privatisation process for SATA Internacional – Azores Airlines, S.A., following the publication of the terms and conditions in the Official Journal.

This process represents a significant investment opportunity in a carrier with a strategic role in the North Atlantic, ensuring vital air connectivity for the Autonomous Region of the Azores and linking Europe with North America.

The published private negotiation procedure framework establishes a transparent, competitive and open process, allowing participation from investors who demonstrate both financial capacity and technical suitability to develop a sustainable long-term aviation project.

A key feature of the current process is the substantial clarification of the asset perimeter. In particular, legacy debt will remain with the public shareholder, ensuring that the airline being offered to investors is financially stabilised and aligned with standard market practices. Additionally, the scope of the transaction includes a clear separation of human resources, reducing operational and social risks and providing predictability for all stakeholders.

The process also foresees specific obligations for the future investor, including the maintenance of essential conditions for operational continuity and employment stability, reinforcing the importance of the airline’s role in regional cohesion.

The privatisation is structured as a staged private negotiation procedure. Following an initial assessment of the eligibility and financial standing of interested parties, the process will proceed with non-binding offers and, subsequently, binding proposals based on detailed due diligence.

Through this initiative, SATA Holding aims to enhance the value of Azores Airlines, attract qualified international investment, and secure the airline’s long-term sustainability. At the same time, it seeks to reinforce the company’s strategic contribution to the economic development, connectivity, and territorial cohesion of the Azores.
